MSEI unlisted shares price and you’ll see dozens of dealer sites quoting the OTC price today, but almost none of them will tell you what is actually in MSEI’s audited books. This article is based solely on the regulatory filing of the Metropolitan Stock Exchange of India Limited, i.e. EGM Notice and Private Placement Offer Letter (Form PAS-4), filed with the Ministry of Corporate Affairs and sent out to shareholders on 16 July 2025, and not on third-party price aggregators. Which means every figure below comes from MSEI’s audited financial statements, not a dealer’s sales page.

The number no one talks about: MSEI's core revenue from operations declined for three consecutive years 2023, 2024 & 2025 from ₹9.21 crore (FY23) to ₹7.36 crore (FY24) to a mere ₹4.31 crore (FY25). That’s about 53% down over two years. Most MSEI unlisted shares articles quote a nebulous “₹10–50 crore revenue” range from third-party trackers. The FY25 audited number is exactly ₹4.31 crore in operating revenue, although total income (including other income like investment gains) was ₹17.38 crore.

Total assets and equity both increased significantly in FY25 – this is the direct balance sheet effect of the private placement of ₹238 crore that was done in that year and not a result of organic business growth. Note that the accumulated losses (“other equity”) actually came down from ₹(287.69) crore to ₹(202.80) crore in FY25 largely because the fresh equity infusion diluted the accumulated deficit rather than the company turned profitable.

The ₹1,000 Crore Fundraising You Won't Find on Dealer Sites

Most coverage on MSEI stops at the widely reported ₹238 crore raise from Zerodha’s Rainmatter, Groww-linked entities and Share India in December 2024. What almost no unlisted-shares website has covered is that at the same EGM on August 7, 2025, the MSEI board and shareholders separately approved a much larger private placement of up to ₹1,000 crore, via 500 crore new equity shares at ₹2 each (₹1 face value + ₹1 premium). The Official Valuation Report: What Does MSEI Really “Cost”

Here's a fact almost no dealer website will tell you: The equity shares of MSEI have been valued by the appointed registered valuer of its board, D&P India Advisory Services LLP at ₹2.00 per share using the Discounted Cash Flow (DCF) method with a valuation date of June 18, 2025.

That's much lower than the ₹4.50-₹13 range you will see quoted across unlisted-share dealer platforms for the same period. The gap points to a key difference for anyone searching “MSEI share price today”: the OTC dealer price is a reflection of retail supply-and-demand and speculative sentiment, whereas the DCF-based valuation used for the company’s own institutional share issuance is significantly more conservative. Both are 'real' prices in the sense that real money changes hands at them - but they measure very different things.

Capital Structure – The Whole Picture

• Increase in authorized capital from ₹850 crore to ₹1,500 crore, at the August 7, 2025, EGM, to facilitate future fund-raising and to enable MSEI to meet SEBI’s regulatory net-worth criteria for stock exchanges.

• Capital paid up prior to the offer: 60,02,17,033 Equity Shares of face value of ₹1 (₹600.02 crore)

• Securities premium reserve pre-offer of ₹1,000 crore: ₹514.31 crore; post-offer expected to be ₹1,014.31 crore

• MSEI’s full allotment history (in the filing’s Annexure 8) traces the origin of each tranche to its first allotment on August 18, 2008 — including its 2015 rights issue and warrant conversions that took paid-up capital from ₹54.35 crore to more than ₹481 crore between 2011 and 2018, well before the latest institutional rounds.

Fixing a Common Mistake: The MCCIL Subsidiary Claim

Many unlisted share dealer websites mention that MSEI has a "86.94% stake in Metropolitan Clearing Corporation of India Limited (MCCIL)."" This is from October 2023. MCCIL (renamed MSE Enterprises Ltd.) was merged into Metropolitan Stock Exchange of India Limited itself as per MSEI’s own filing for the year 2025. Thus the filing explicitly states “no related party transactions during FY 2023-24 & FY 2022-23” due to that merger. MSEI’s actual subsidiaries as of the FY25 filing are:

1. MSE Fintech Limited – incorporated 2012, planned for KYC Registration Agency activities, but no active business now

2. MSE Indices Private Limited - incorporated on June 17, 2025, formed to act as an Index Provider and has not yet commenced business

Neither subsidiary is a meaningful revenue contributor at the moment, which reframes claims of “diversified group structure” you will see on marketing-oriented dealer pages.

Governance and Leadership

• Ms. Latika S. Kundu, Managing Director & CEO, for a term of 3 years w.e.f. February 11, 2025, subject to the approval of SEBI (received on December 17, 2024). She has worked with NSE, MCX-SX, Singapore Mercantile Exchange, Singapore Diamond Investment Exchange and Lehman Brothers. Her approved annual remuneration is Rs 2.25 crore (Rs 1.65 crore fixed + Rs 60 lakh variable, of which 50% of the variable component is deferred for three years under a malus/clawback policy).

The Going-Concern Story: What the Audit Trail Actually Says

The issue is that this is not communicated enough: In FY 2020-21 and FY 2021-22, MSEI’s statutory auditors issued a “going concern” qualification in their audit reports, citing ongoing losses and lack of clarity over future revenue. Critically, the three most recent audited years for MSEI – FY 2022-23, FY 2023-24, and FY 2024-25 – do not contain such a qualification, meaning that the most severe solvency-related audit flag has not re-emerged. Regulatory net worth, as per the same filings, stood at Rs 164.46 crore (March 2021) and Rs 141.17 crore (March 2022), both well above the minimum Rs 100 crore requirement for exchanges as per SEBI.

Directly disclosed regulatory investigation

MSEI’s filing itself states that the Exchange received a preliminary finding letter from the Ministry of Corporate Affairs dated November 10, 2024, to which the company responded formally. The filing does not disclose any pending fines, prosecutions or adverse orders from this investigation. The filing also confirms that there are no defaults in statutory dues, loan repayments or deposit interest and no material frauds committed against the company in the preceding three years.

MSEI Unlisted Share Price Today: Not Just the Price, It’s the Context

Dealer platforms quoted the unlisted shares of MSEI in a band of ₹4.50-₹6.40 as of late August 2026, with a 52-week band reported at around ₹2.00-₹13.00. No DRHP has been filed with SEBI till date and the IPO date is not confirmed yet. So, if you are googling for “MSEI IPO share price today”, any number you see quoted is a pre-IPO OTC estimate and not an official listing price.

A reputable unlisted shares dealer should be able to point you to these primary filings, not just quote you a price.
